Programs that provide assistance for nonprofit boards that believe a problematic board member needs to be removed, generally for inactivity, non-attendance, conflict of interest, unethical behavior, obstructive behavior or other problems that interfere with the board's ability to function. Removal provisions should be outlined in the organization's bylaws and can include term limits (which mandate a break from board service following a specified number of board terms), personal intervention (which may lead to resolution of the problem or a voluntary resignation) or impeachment (which generally involves a two-thirds vote at a regularly scheduled board meeting).
